Terms of Service

By accessing or using NQSharp ("the Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

NQSharp is a market analytics and educational platform for Nasdaq-100 futures (NQ=F). The Service provides automated technical analysis, market intelligence, and educational content via web dashboard and Telegram. NQSharp is a market analytics tool — similar to charting platforms like TradingView or TrendSpider.

NQSharp does NOT:

  • Execute trades or manage trading accounts
  • Provide personalized investment advice
  • Guarantee trading profits or specific returns
  • Act as a broker-dealer, investment adviser, or commodity trading advisor
  • Access, hold, or manage your funds or brokerage credentials

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent that you meet this age requirement and have the legal capacity to enter into a binding agreement.

The Service is not available to residents of the following countries and regions:

  • United States of America — CFTC regulatory requirements
  • United Kingdom — FCA financial promotion requirements
  • Australia — ASIC licensing requirements
  • China (Mainland) — Foreign financial services restricted
  • India — SEBI restrictions on foreign platforms
  • Russia — EU sanctions + domestic licensing
  • North Korea, Iran, Syria, Cuba — International sanctions
  • Crimea, Donetsk, Luhansk regions — EU/US sanctions

By using the Service, you represent and warrant that you are not located in, a national of, or a resident of any restricted jurisdiction listed above. NQSharp reserves the right to terminate accounts found to be in violation of these geographic restrictions.

3. Not Financial Advice — Assumption of Risk

All analysis, scores, market intelligence, and educational content provided by NQSharp are for informational and educational purposes only. Nothing provided by the Service constitutes financial, investment, or trading advice.

YOU ACKNOWLEDGE AND AGREE THAT:

  • Trading futures involves substantial risk of loss and is not suitable for all investors
  • You may lose more than your initial investment
  • You are solely responsible for your trading decisions
  • NQSharp's automated analysis may be incorrect, delayed, or based on incomplete data
  • Past performance — whether actual, hypothetical, or backtested — is not indicative of future results
  • You should consult with a qualified, licensed financial professional before making any investment decisions

4. Subscription and Payment

The Service costs $79/month after a 29-day free trial. No credit card is required for the trial.

  • If you do not cancel before the trial ends, you will be charged $79 on day 29 and monthly thereafter
  • Reminder emails are sent at day 15 and day 26 of the trial
  • Prices may change with 30 days' notice
  • Payment is processed by LemonSqueezy (Lemon Squeezy, LLC)

5. Cancellation and Refunds

Cancel anytime via the dashboard account page or by emailing support@nqsharp.com. Upon cancellation:

  • You retain access until the end of your current billing period
  • No refunds for partial months
  • If the Service experiences significant downtime (>24 consecutive hours), a pro-rata credit may be issued at our discretion

6. Intellectual Property

All analyses, algorithms, scoring methods, educational content, and software are the property of NQSharp. You may not redistribute, resell, share publicly, reverse-engineer, or create derivative works from the Service or its output without written permission. Violations result in immediate account termination.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • NQSharp shall not be liable for any trading losses, missed opportunities, or indirect, incidental, consequential, or punitive damages arising from use of the Service
  • Our total liability to you shall not exceed the amount you paid for the Service in the 3 months preceding the claim
  • The Service is provided "as is" and "as available" without warranties of any kind, express or implied

8. Indemnification

You agree to indemnify and hold harmless NQSharp, its operators, and affiliates from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your trading decisions, or your violation of these Terms.

9. Force Majeure

NQSharp is not liable for failures or delays due to circumstances beyond reasonable control, including but not limited to: exchange outages, data feed disruptions, API provider failures, internet disruptions, natural disasters, government actions, or cyberattacks.

10. Termination by Provider

We may suspend or terminate your account if you: violate these Terms, redistribute analyses, engage in abusive or threatening behavior, use the Service for illegal purposes, or attempt to reverse-engineer the system. No refund upon termination for cause.

11. Electronic Communications

By using the Service, you consent to receive communications electronically (via Telegram, email, or dashboard notifications). You agree that all agreements, notices, and communications provided electronically satisfy any legal requirement that such communications be in writing.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Turkey. Any disputes shall be resolved through binding arbitration in Istanbul, Turkey, under the rules of the Istanbul Arbitration Centre (ISTAC). You agree to waive the right to participate in class action lawsuits or class-wide arbitration.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

14. Changes

We may update these Terms. Material changes will be communicated via email or Telegram notification at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
